All services are subject to a separate written agreement or service contract agreed between the Company and the client. In the event of any conflict between these Terms and the service contract, the service contract shall take precedence.
All quotations provided are valid for 30 days from the date of issue unless otherwise stated in writing. Prices are subject to change without notice prior to acceptance. Once a contract has been signed and agreed, the contracted rate will remain fixed for the agreed contract period.
All prices quoted are exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing rate at the time of invoice.
Invoices are issued weekly or monthly as agreed in the service contract. Payment is due within 14 days of the date of invoice unless alternative payment terms have been agreed in writing. Late payment may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
In the event of non-payment, the Company reserves the right to suspend or terminate services without liability.
Either party may terminate a service agreement by providing written notice as specified in the relevant service contract. The standard notice period is 4 weeks unless otherwise agreed in writing. The client shall be liable to pay for all services rendered up to and including the termination date.
The Company shall not be liable for any indirect, consequential, special or incidental loss or damage arising out of or in connection with the provision of our services. Our total liability to the client in any contract period shall not exceed the total fees paid by the client during the relevant period.
Nothing in these Terms shall limit or exclude the Company's liability for death or personal injury caused by negligence, fraud or any other matter that cannot be excluded or limited by law.
Both parties agree to keep confidential any information that is expressly stated to be confidential or which by its nature should reasonably be considered confidential, including client premises details, security arrangements and commercially sensitive information. This obligation shall survive the termination of any contract.
